Corporate Governance and Strategy

As of October 2016, when the attorneys from Bancroft joined Kirkland & Ellis LLP, they focused on offering strategic consulting and legal advice on governance practices for the modern corporation.  Our attorneys have been heavily involved in all aspects of corporate law and corporate governance—from providing outside general counsel services to negotiating mergers and acquisitions to devising best-in-class compliance programs and advising on activist shareholder campaigns.  We have prepared and defended complaints to the SEC and advised clients on corporate board policies, and have represented board members facing both special committee and government investigations into company dealings.  Our team also helps individuals and corporations comply with legal requirements and craft appropriate governance policies and procedures.  Our corporate clients range from publicly traded Fortune 500 companies to technology startups, and from corporate boards to investment funds.

We have also litigated shareholder derivative and class action lawsuits, on behalf of both plaintiff shareholders and defending companies.  For example, a team of our attorneys represented a minority shareholder in a multi-forum challenge to Clearwire Corporation’s proposed merger with Sprint Nextel Corporation.  This matter involved a proxy contest, litigation in the Delaware Court of Chancery, and merger proceedings before the Federal Communications Commission. The case was ultimately amicably resolved on favorable terms to our client, and resulted in an increased price per share of more than 70% from the initial offer.
